HAUGHEY AIR LIMITED: Mortgages

All the property of the company whatsoever and wheresoever both present and future, which may include land, ships, aircraft and intellectual property from time to time.. Notification of addition to or amendment of charge.

As security for the full and punctual payment,performance and discharge by the mortgagor to the lender of the secured obligations to mortgagor hereby:. A)mortgages and agrees to mortgage to the lender all of the mortgagors rights,title and interest,present and future,in and to the aircraft being the agusta westland AW139 aircraft with the manufacturer's serial number 31421.

All the assignors rights,title,benefit and interest (present or future) in and to:. A) the maintenance service programmes ;and. B)the contract benefits,. And references to assigned property include references to any part of the assigned property.

An assignment of all the company's rights and interests of every kind, present and future in or in connection with aircraft purchase agreement dated 1 august 2011 and made between agusta westland S.P.A. (1) and the company (2) as amended by the amendment agreement dated 30 september 2011 between the same parties and a side letter dated 30 september 2011 between agusta westland S.P.a and norbrook laboratories limited. All monies debenture. As continuing security for the payment and discharge of the secured obligations and as beneficial owner and registered owner or as the person entitled to be registered as owner as the case may be.

All monies mortgage. By way of priority legal mortgage to the lender all its interest present and future in and to one embraer legacy emb-135 bj aircraft with manufacturer's serial number 14500972 to the registration mark g-mgyb which consists the following components;. (1) airframe bearing manufacturer's serial number 14500972. (2) two (2) rolls-royce AE3007AIE engines bearing the manufacture's serial number 1 s/n cae 312933 and r s/r cae 312936. (3) standard accessories and specifications.

All monies security deed of assignment. As security for the full and punctual payment, performance and discharge by the assignor to the assignee, the assignee assigns absolutely. (A) all rights, title interest, present and future of the assignor in and to the benefit of the rolls-royce corporatecare agreement.

All monies security deed of assignment of the purchase agreement. Aircraft the embraer legacy emb-135BJ corporate jet aircraft, serial NO14500972 and two rolls royce AE3007 A1E egines installed on such aircraft.

All monies security assignment. All the company's rights and interests in and to the purchase agreement (ie the s - 76C ++ new helicopter sales agreement dated 30JUNE 2005 between the manufactireer and the company ) and the guaranty (as defined).

All monies aircraft mortgage. One sikorsky s-76C++ helicopter with turbomeca arriel 2S2 engines as more particulary described in a sale agreement relating to same (in particular exhibit a therof).

All monies composite debenture. (A) by way of mortgage all that and those the company's freehold and leasehold lands, hereditaments, premises, property and all chattels both present and future, .......... see doc 33 for further details.

Legal mortgage - total indebtedness under a loan agreement of 10TH september 2001 an aircraft, a sikorsky S7GB with a registration mark g-wdo and serial number 760356 together with additional equipment, avionics, interior, loose equipment and documents.

Deed of assignment - amount due under a loan agreement of 10TH september 2001 the company's right, title and interest and to the benefit of all proceeds under insurances effected in respect of an aircraft pursuant to clause 7 of the legal mortgage of even date.

All monies.legal mortgage the mortgagor as beneficial owner thereby charged by way of first priority legal mortgage and fixed charge the aircraft (as defined below) with the payment to the bank of all monies thereby covenanted to be paid and with the punctual performance and observance by the mortgagor of the terms, covenants and conditions of the loan agreement dated 19 january 1999 made between the bank (1) and the mortgagor (2). see doc 21 for further details.
