All monies due or to become due from the company to the chargee on any account whatsoever

All actual contingent present and/or future obligations and liabilities whatsoever of each debtor (as defined in the deed), and the company (whether in respect of principal, interest or otherwise) now or hereafter owing to each of the secured parties (including, under the guarantee and debenture and under any of the financing documents) (the "secured obligations") provided that no obligation or liability shall be included in the definition of "secured obligations" to the extent that, if it were so included, this guarantee an debenture (and any part thereof) would constitute unlawful financial assistance within the meaning of sections 151 and 152 of the 1985 companies act and in respect of which the appropriate procedures in accordance with sections 155-158 of the 1985 act have not been complied with.
