By way of floating charge all the undertaking of the company and all assets whatsoever and wheresoever now owned or hereafter acquired by the company or in which it now has or in future acquires an interest including the company’s stock in trade and its uncalled capital but (for the avoidance of doubt) excluding any debts and associated rights relating thereto the ownership of which vests in or shall at any time hereafter vest in security holder by virtue of any agreement for the purchase of debts between the company and the security holder, and the proceeds and the products thereof.

All monies legal assignment of contract monies. Any credit balance due to the company under condition 13 of the agreement for the purchase of debts between the company and hsbc as more particularly described in schedule 1 to the legal assignment ( the contract) and includes any discounting allowance as defined in and due under the contract the benefit of all the other provisions of the contract and all securities (if any) for the contract but only in respect of that credit balance ( the contract monies).

All monies debenture. Legal mortgage on all freehold and leasehold land now vested in the mortgagor including but not limited to the land and properties specified in part 1 of the first schedule to the debenture together with all buildings fixtures fittings and fixed plant and machinery now or at any time hereafter thereon; and.

All monies fixed charge on purchased debts which fail to vest.. By way of fixed equitable charge all debts purchased or purported to be purchased by the security holder pursuant to an agreement for the purchase of debts between the security holder and the company (including the associated rights relating thereto) which fail to vest effectively or absolutely in the security holder for any reason.
