AC REALISATIONS (2007) LIMITED

All monies due or to become due from the companies to the chargee on any account whatsoever under the terms of the aforementioned instrument creating or evidencing the charge

All monies due or to become due from the company to the chargee under the terms of the aforementioned instrument creating or evidencing the charge

All monies due or to become due from the companies to each of the chargee and the security beneficiaries on any account whatsoever under the terms of the aforementioned instrument creating or evidencing the charge

All monies due or to become due from the companies to each of the chargee and the security beneficiaries on any account whatsoever under the terms of the aforementioned instrument creating or evidencing the charge

All monies due or to become due from the companies to each of the chargee and the noteholders and from the company to any of the noteholders under the terms of the aforementioned instrument creating or evidencing the charge

All monies due or to become due from the company to the chargee under the terms of the aforementioned instrument creating or evidencing the charge

All obligations and liabilities due or to become due from each obligor to the banks (or any of them) under the terms of the aforementioned instrument creating or evidencing the charge

All obligations and liabilities due or to become due from each obligor to the banks (or any of them) under the terms of the aforementioned instrument creating or evidencing the charge

All monies due or to become due from the company to the listed banks on any account whatsoever under the terms of the aforementioned instrument creating or evidencing the charge

All monies and liabilities due or to become due from the company and/or any obligor (as defined or referred to in the debenture and the credit agreement (as after defined) or otherwise to the chargee under the debenture

All secured obligations (as defined) and all monies and liabilities due or to become due from the company to the chargee on any account whatsoever and every other sum or other obligation due or to become due from any obligor (as defined) or otherwise secured by the debenture to the chargee as security trustee for the beneficiaries (as defined) and as security trustee for the finance parties (as defined) in terms of (first) credit agreement dated 14TH july 1999 which credit agreement as the same may be amended, supplemented, replaced or novated from to time (the "credit agreement") and (second) the debenture no.1 Dated 15TH july 1999 (which debenture as the same may be amended, supplemented, replaced or novated from time to time) (the "debenture")

In favour of the chargee all such sums of money as are repayable or due and as are now or as from time to time shall be due, owing and incurred by the company or by the company jointly with any other or others in partnership or otherwise and whether as principal or as surety or on foot of any indemnity, counter- indemnity, guarantee or otherwise to the listed banks anywhere upon any banking account or upon any discount or other account or for any matter or thing whatsoever or charges incurred on its account or in respect of negotiable instruments drawn accepted or endorsed by or on behalf of the company and discounted or paid or held by the listed banks either at the request of the company or in the course of business or otherwise howsoever including interest, discount, commission, all legal charges of whatsoever nature occasioned by or incidental to this or any other security held by or offered to the security trustee or the listed banks (including without prejudice to the generality of the foregoing the credit agreement and the english debenture) or by or to the enforcement of any such security and all other banking charges and in the meantime to pay to the listed banks interest on all sums hereby covenanted to be paid without deduction of tax at such rate per annum as shall be agreed in writing between the company and the listed banks such interest to be calculated and accure as set out in the credit agreement

All present and future actual or contingent obligations of the obligors (as defined) to the chargee (as security trustee for itself and the other beneficiaries) and to the beneficiaries (as defined) under the relevant credit documents (as defined)
