Fixed and floating charges over the undertaking and all property and assets present and future including goodwill bookdebts uncalled capital buildings fixtures fixed plant and machinery.

Fixed charge any book debt (purchased or purported to be purchased by the chargee pursuant to the agreement the ownership of which fail to vest in the chargee for any reason. Together with the proceeds of that book debt and all amounts of indebtedness now or at any time owing to the company on any account including (but not limited to) any amount retained by the chargee under the conditions of that agreement all other amounts now or at any time hereafter due or owing to the company on any account whatsoever and by way of floating charge such of the monies which the company may receive in respect of the debts as shall from the time being stand released from the fixed charge.
