I-21 HOLDINGS LIMITED

All moneys, liabilities, obligations due or to become due from the company to the lenders, the agent, the arranger and/or the chargee under or in connection with the senior facility agreement together with all costs under or in connection with the facility agreements (all as defined therein)

All monies due or to become due from the company to the chargee under or in connection with the facility agreement dated 15TH june 2000 (as defined) or any of the facility documents (as defined)

All moneys liabilities, obligations, undertakings and duties due or to become due from the company to the chargee, the lenders (as defined) or the security trustee (as defined) under or in connection with the facility documents (as defined)

All moneys liabilities obligations undertakings and duties (whether actual or contingent) which are now or have been or may at any time hereafter be due owing payable or required to be performed or undertaken or expressed to be due owing or payable or required to be performed or undertaken to the chargee (the "security trustee") the lenders,the agent and the arranger from or by I-21 holdings limited under or in connection with the facility documents or this pledge together with all legal and other costs charges and expenses payable under or in accordance with the facility documents which the security trustee may incur in enforcing or obtaining or attempting to enforce or obtain payment of any such moneys and liabilities or performance of such obligations undertakings or duties (all terms as defined)

All moneys liabilities obligations undertakings and duties (whether actual or contingent) which are now or have been or may at any time hereafter be due owing payable or required to be performed or undertaken or expressed to be due owing or payable or required to be performed or undertaken to the chargee (the "security trustee") the lenders,the agent and the arranger from or by I-21 holdings limited under or in connection with the facility documents or this pledge together with all legal and other costs charges and expenses payable under or in accordance with the facility documents which the security trustee may incur in enforcing or obtaining or attempting to enforce or obtain payment of any such moneys and liabilities or performance of such obligations undertakings or duties (all terms as defined)

All monies due or to become due from the company to the chargee under or in connection with the facility agreement dated 15TH june 2000 (as defined) or any of the facility documents (as defined)

All monies due or to become due from the company to the chargee under or in connection with the facility agreement dated 15TH june 2000 (as defined) or any of the facility documents (as defined)

All monies liabilities undertakings and duties which are now or may at any time hereafter be due owing or payable or required to be performed or undertaken or expressed to be due owing or payable or required to be performed or undertaken to or in favour of the chargee (the "security trustee") from or by the company under or in connection with the credits promised or advanced as of the date of the pledge together with all legal and other costs charges and expenses payable which the chargee may incur in enforcing or obtaining or attempting to enforce or obtain payment of such monies and liabilities or performance of such obligatons undertakings or duties reduced by any amounts returned or repaid by the company to the security trustee

All moneys liabilities obligations undertakings and duties (whether actual or contingent) which are now or have been or may at any time hereafter be due owing payable or required to be performed or undertaken or expressed to be due owing or payable or required to be performed or undertaken to the chargee (the "security trustee") the lenders,the agent or the arranger from or by I-21 holdings limited under or in connection with the facility documents or this pledge together with all legal and other costs charges and expenses payable under or in accordance with the facility documents which the security trustee may incur in enforcing or obtaining or attempting to enforce or obtain payment of any such moneys and liabilities or performance of such obligations undertakings or duties (all terms as defined)

All moneys,liabilities,obligations,undertakings and duties due or to become due from the company to the chargee,the beneficiaries (as defined) or the security trustee (as DEFINED0 under or in connection with the facility documents (as defined)

All moneys liabilities obligations undertakings and duties (whether actual or contingent) which are now or have been or may at any time hereafter be due owing payable or required to be performed or undertaken or expressed to be due owing or payable or required to be performed or undertaken to the chargee (the "security trustee") the lenders,the agent and the arranger from or by I-21 france under or in connection with the facility documents or this pledge together with all legal and other costs charges and expenses payable under or in accordance with the facility documents which the security trustee may incur in enforcing or obtaining or attempting to enforce or obtain payment of any such moneys and liabilities or performance of such obligations undertakings or duties (all terms as defined)
