MICROMASS INTERNATIONAL LIMITED

The payment of all sums which the pledgor (as defined) owes or may owe to the chargee under the terms of the facilites (as defined)

The payment of the secured obligations (as defined) by the pledgor (as defined) to the chargee

The payment of the obligations (as defined) to the chargee

The due performance of all of the secured obligations (as defined) to the chargee under senior finance documents (as defined)

The credit obligations (as defined) to the chargee

All present and future conditional and unconditional claims of the pledgees (as defined) against the pledgor arising from time to time under loans, advances, and any and all renewals, extensions for any period or enlargements and any other amendment or supplement thereof as well as any and all other conditional and unconditional claims of the pledgees against the pledgor arising from time to time from the business relations between the parties. The pledging of the collateral shall further serve the purpose of securing all present and future obligations of the pledgor towards the pledgees arising from the agreement of even date and of securing present and future obligations of the pledgor towards one or more of the pledgees resulting from an agreement between the pledgor and pledgees if such agreement was entered into on the date of the share pledge agreement

All monies due or to become due from the company and/or all or any of the other companies named therein to the chargee as agent and trustee for the beneficiaries (as defined) under the terms of the facilities agreement and/or the hedging agreements and/or the working capital letters and/or the senior security
