The chargor (a) assigned by the agreement to the lender as collateral security all of the exisiting or thereafter acquired rights, title and interests of the chargor, which are susceptible of being assigned without the written consent of the other party thereto (contracting party) and upon obtaining the contracting party's written consent, all remaining other rights, title, and interest, in and to each of the manufacturing agreements described on exhibit a to the form 395 (the manufacturing agreements). The chargor (a) assigned by the agreement to the lender as collateral security all rights to indemnification and claims, demands and causes of action of the chargor, existing at the date of the agreement or thereafter arising out of or in connection with the share purchase agreement dated on or about the date of the agreement (the share purchase agreement) between the chargor and ucb pharma limited (the claims) and (b) granted to lender a continuing interest in and general lien upon the claims and all proceeds thereof and all other payments at any time due or payable with respect thereto.
