1.1 pursuant to a legal charge dated 21 december 2016 made between (1) crosslane student developments (formula one) limited ("the chargor") and (2) titlestone property lending limited ("the chargee") ("the charge") the chargor with full title guarantee, charges, and agrees to charge, in favour of the chargee:. 1.1.1 by way of first legal mortgage all that freehold land known as formula one garage, albert street, newcastle upon tyne NE2 1YW and registered at the land registry with absolute title under the whole of title numbers TY28635, TY315012 and TY540380.

Pursuant to a debenture dated 21 december 2016 made between (1) crosslane student developments (formula one) limited ("the chargor") and (2) titlestone property lending limited ("the chargee") ("the charge") the chargor with full title guarantee, charges, and agrees to charge, in favour of the chargee:. 1.1 by way of first legal mortgage all that freehold land known as formula one garage, albert street, newcastle upon tyne NE2 1YW and registered at the land registry with absolute title under the whole of title numbers TY28635, TY315012 and TY540380. 1.2 by way of first fixed charge all other present and future interests (not being charged by clause 1.1) in any freehold or leasehold property vested in or charged to the chargor, the buildings and fixtures and fittings (including trade fixtures and fittings) at any time on or attached to such property;. 1.3 by way of first fixed charge all proceeds of sale derived from any property or any buildings, fixtures or fittings (including trade fixtures and fittings) at any time on or attached to any property, the benefit of all covenants given in respect of any property or any such buildings, fixtures or fittings and all licences to enter upon or use land and the benefit of all other agreements relating to land;. 1.4 by way of first fixed charge all equipment, all spare parts, replacements, modifications and additions for or to that equipment together with the benefit of all manuals, instructions, warranties, licences and maintenance agreements relating to it;. 1.5 by way of first fixed charge all the securities;. 1.6 by way of first fixed charge the benefit of all licences, consents, agreements and authorisations held or utilised by the chargor in connection with its business or the use of any of its assets;. 1.7 by way of first fixed charge all the goodwill and uncalled capital of the chargor; and. 1.8 as further continuing security for the payment of the secured liabilities, the chargor charges with full title guarantee in favour of the chargee by way of first floating charge all its assets and undertaking whatsoever and wheresoever situated both present and future not effectively mortgaged or charged pursuant to the provisions of clause 1, including heritable property and all other property and assets in scotland.
