ORCHARD BRAE DEVELOPMENTS (N.I.) LIMITED

Assignment. All rights, benefits and interest of the company both present and future under an agreement dated 27TH may 1998 between the company (1) and morrison homes limited (20 ("the agreement") to develop premises at downshire road, newry, county down as may be from time to time extended including any guarantee or security the company may have and all rights or remedies accorded to it including any debts and claims both present and future in connection with the agreement claims against insurers or the northern ireland office and all rights for enforcing the agreement.

Mortgage. All that and those the freehold premises situate at downshire road newry county down comprised in and conveyed by two deeds of conveyance both of even date with the mortgage but executed immediately prior thereto and made between morrison homes limited of the one part and orchard brae developments (NI) limited of the other part and therein more particularily described as to measurements abuttals and boundaries.

All righs, benefits and interest of the company both present and future under (I) and agree,ment dated 27TH march 1998 between the department of the environment (1) and the company (2) and (ii) an agreement dated 27 march 1998 between the company (1) morrison homes limited (2) ("together the agreements") as each are from time to time varied or extended including any guarantee or security the company may have and all other rights or remedies accorded to it including all debts and claims present and future in connection with the agreements claims against insurers or the northern ireland office and all rights for enforcing the agreements.

Assignment all rights benefits and interest of the company both present and future under (I) and agreement dated 12/2/97 between the belfast harbour commissioners (1) and varo estates limited (2), (ii) an agreement dated 4/9/97 made between the company (1) morrison homes limited (2) and morrison construction limited (3) and (iii) an agreement dated 4/9/97 made between varo estates limited (1) morrison homes limited (2) and the company (together "the agreements") as each are from time to time varied or extended including any guarantee or security the company may have and all other rights and remedies accorded to it including all debts and claims present and future in connection with the agreements claims against insurers or the northern ireland office and all rights for enforcing the agreements.

Assignment the benefit of an agreement dated 20/3/97 between the department of the environment for northern ireland (1) and the company(2) ("the carrick master development agreement") dated 20/3/97 and of an agreement dated 20/3/97 between the company (1) and morrison homes limited (2) ("the carrick sub- development agreement").
